Introduction

It is a case of business owners where the Don Willet owns the small, local health food products business; it's a family business where his wife and kids supports him. In the initial stages his business was suffering and he is spending money from his own savings but from the struggling exclusively he got very good returns of his investments. After while he supposed to expand his business and need to have suppliers to fulfill the business demands and supplies for this purpose he begins his searching to hire a suitable and qualified suppliers (qualified supplier means legal government registered firm). After selecting the supplier he signed the contract of Seller and Buyer at sell of goods act under the supervision of legal advisors. In the beginning, Don starts placing the orders on regular basis on phone call, which gets increases as the time goes. According to the contract, the payments of the supplied goods to be made within the 30days, but as Don has the sharper character, he usually pay the bills after the 45days. The supplier thought, the business should go on and not to breach the contract before the deadline of the contract. After few days, Don visits the office of the supplier where he found his kid sitting on his seat. He asked him to sign the document on behalf of his father, boy asked him what is it, he replied it is just a business continuation document and a formality. Don stated a false statement that document was the fraudulent act and breaching a contract because Don came under the burden of huge payments to him. In this paper we will explore out the legal and lawful objectives of the first contract between the supplier and the buyer (Sons of Thunder, Inc. v. Borden, Inc.,1997).
