Introduction to the companies

UK Coal is engaged in surface and underground coal mining, property regeneration and management, and other related activities. The Company also operates in the following business segments: Deep mining, Surface mining, and Property. Deep mining comprises the underground mining operations of Co. and related labour services, the methane generation operations and the captive insurance company. Surface mining incorporates all mining activities at surface level, together with the plant hire operations of Co. The Property division, Harworth Estates, maintains, develops and rents Co.'s property portfolio.

This report will analyse the financial statements of marks and Spencer and the UK coal company in a detailed manner. This will be focusing on the profitability and the investor ratios.

Co. maintains its registered office in Doncaster, South Yorkshire. As of Dec. 26, 2009, Co. operated 4 deep mines, located in Central and Northern England and 4 active surface mines. Co.'s property division, Harworth Estates, managed approx. 17,600 hectares (43,500 acres) of freehold land, predominately in England. The majority of the portfolio is located on the A1/M1 corridor from Leicestershire to Northumberland. There are, in addition, a small number of sites in Scotland, North West England and North Wales.

The core activities of Marks & Spencer Group 'are the retail and financial services. Co. operates retail stores in 34 countries. "It provides food and clothing. S Retail Co." consists of the activities of the Marks & Spencer and Kings Super Markets brand. IT financial services consist of IT operations, the retail financial services, which provide loans and charge cards, personal loans, mutual fund management, life insurance, personal insurance and pensions. IT captive insurance companies are also included in this segment, the bulk of its business is generated by the provision of insurance services.

According to the directors, the plan of arrangement is a group of reconstruction, rather than acquisition, shareholders are the same as the former shareholders of Marks and Spencer and so are the rights of each shareholder. These rights do not change in comparison with others. They remain the same in minority interest of the shareholders. Therefore, the directors believe that the system of registration while acquiring a company should be based on its assets and liabilities in order to have a fair value.
