Brief background of the case

The case is mainly about a restaurant, having good reputation and loyal customers, mainly due to its signature dishes and frozen food line, which have been developed by one of the employees, Sophia. The restaurant is owned by Jack, who is now ready to sell to same to Sophia and Hal, but intends to keep the intellectual property rights of the signature food with him, thus depriving the new owners from the right to sell the signature dishes, which have also been developed by one of them.
