Introduction

Corporate governance and the ethical responsibility is one of the major responsibilities in running the business. The business owners are responsible to carry out the business processes according to the ethical values that are defined by the societies in which the business operates. Particularly, the health care sector requires more consideration of ethical issues in the corporate governances. The reason is that the health care organizations deal with the sensitive issues of the patients therefore they are required to given more and more attention that the ethical issues of the patients are not violated during the health care practices. The corporate governance in health care sector is also very challenging and risk taking. The responsibility of negligence and misconduct lies upon the personnel who are responsible for the governance of the health care organization.

This case study is also related to the health care organization namely, “Universal Human Care Hospital”. The president of this health care organization namely, who has been recently hired is Dr. Do Right. The president Dr. Do Right has found that there is continuously occurring of death of the patients in the hospital due to the negligence of the doctors and nurses because the illegal practices are carried out upon the patients that then take the lives of these patients.

Being a responsible person of this hospital, Dr. Do Right was to be provided a detailed report of investigation on this issue by the Regional Director, Compliance Manager and the members of Executive Committee. The report delivered by the concerned authorities to Dr. Do Right did not come up with the results and still the dyeing of patients is occurring. The corporate governance requires that the matters that arise must be quickly resolved but in this case Dr. Do Right as a president is receiving the awards for his leadership of the hospital even when the serious matter is still present.

There are various internal and external stake holders with which the president of the hospital Dr. Do Right has to deal with n the daily basis. The internal stakeholder with whom Dr. Do Right deals with daily involves the immediate reporting authorities, the managers of the departments, board of trustees and the regional director of the hospital.
